Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and Dube International, LLC ("Dube International," "we," "us," or "our") governing your access to and use of our websites, products, and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not access or use our Services.

We reserve the right to modify these Terms at any time. If we make changes, we will post the updated Terms on our website and update the "Last Updated" date. Your continued use of our Services after such changes constitutes your acceptance of the new Terms.

We may update, change, suspend, or discontinue any aspect of our Services at any time, including the availability of any feature, database, or content. We may also impose limits on certain features or restrict your access to parts or all of the Services without notice or liability.

When you submit a project brief through our Services, you acknowledge that:

• The information provided is accurate and complete
• You have authority to submit the project brief on behalf of your organization
• We may use the information to assess project feasibility and provide proposals
• Submission of a brief does not guarantee project acceptance or create any obligations
• We will respond within 48 hours with either a proposal or decline notice

All project engagements require separate written agreements that supersede these general Terms.

Some features of our Services may require you to provide contact information. When you do, you agree to provide accurate, current, and complete information and to update this information to maintain its accuracy. You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account.

We reserve the right to refuse service or terminate access if any information you provide is inaccurate, false, or incomplete, or if you have violated these Terms.

Our Services may allow you to submit, upload, publish, or otherwise make available content, including but not limited to text, project descriptions, technical requirements, and other materials ("User Content").

By submitting User Content, you grant Dube International a worldwide, non-exclusive, royalty-free license to use, reproduce, and analyze such User Content solely for the purpose of providing our Services, including project assessment and proposal development. We will not share your proprietary information with third parties without your consent.

You agree not to:

• Use the Services in any manner that could disable, overburden, damage, or impair the site
• Use any automatic device or process to access the Services
• Introduce viruses or other malicious material
• Attempt to gain unauthorized access to the Services
• Use the Services for any illegal purpose
• Impersonate any person or entity
• Submit false or misleading project information
• Engage in any conduct that restricts or inhibits anyone's use of the Services

The Services and their entire contents are owned by Dube International and are protected by United States and international intellectual property rights laws.

These Terms permit you to use the Services for your business purposes in connection with potential or actual project engagements. You must not reproduce, distribute, modify, or republish any material from our Services except as specifically allowed.

We understand that project briefs may contain confidential business information. We agree to maintain the confidentiality of any proprietary or sensitive information you provide, using the same degree of care we use to protect our own confidential information, but in no event less than reasonable care. This confidentiality obligation survives termination of these Terms.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY PARTICULAR PROJECT WILL BE ACCEPTED OR RESULT IN AN ENGAGEMENT.

DUBE INTERNATIONAL WILL NOT BE LIABLE FOR ANY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, INCLUDING DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED $100.

These Terms shall be governed by the laws of the State of Ohio. Any legal proceedings shall be instituted exclusively in the federal or state courts located in Ohio.
